This End User License Agreement ("EULA") is a legal agreement between you and Onda Labs ("Onda Labs", "we", "us") for the VOKAL software, its updates and documentation (the "Software"). The seller's identity is shown in the Legal notice. By installing or using the Software you accept this EULA.
1. Licence
After full payment we grant you a personal, non-exclusive, non-transferable licence to install and use the Software on one (1) computer at a time, for commercial and non-commercial music production. You may move the licence to another computer you own by deactivating it on the previous one.
2. Demo version
The demo version may be used free of charge for evaluation. Export is disabled and 1.5 seconds of silence plays every 45 seconds.
3. Restrictions
You may not share, sell, rent, lend, sublicense or publish your licence key; use one licence on more than one computer at the same time; or reverse engineer, decompile or circumvent the licence protection of the Software, except where this is expressly permitted by applicable law.
4. Your music
All audio you create or process with the Software belongs to you. We claim no rights over it.
5. Activation
The Software activates online once and then works offline. Activation data is handled as described in our Privacy notice.
6. Ownership
The Software is licensed, not sold. Onda Labs and its licensors keep all intellectual property rights in the Software.
7. Updates
We may provide updates. Updates are covered by this EULA unless they come with separate terms.
8. Warranty
The Software is provided "as is" to the extent permitted by law. This does not affect your statutory rights as a consumer, including the legal guarantee of conformity for digital content.
9. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential damages, loss of data or loss of profits. Nothing in this EULA limits liability that cannot be limited by law.
10. Termination
This licence ends automatically if you materially breach this EULA. On termination you must stop using the Software and delete all copies.
11. Governing law
This EULA is governed by the laws of the seller's country of establishment. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence and may bring proceedings in the courts of that country.
